FairSharePay's Terms and Conditions include these Terms of Use (relating to your use of FairSharePay's services, website, and content) and Terms of Sale (relating to the sale and purchase of goods, products, and services featured or transacted through the platform).

FairSharePay and https://fairsharepay.com (the "Site" or "Website") are provided to you by FairSharePay ("FairSharePay", "FairShare", "we", "us", or "our") subject to this Agreement ("Agreement" or "Terms").

FairSharePay may modify these Terms and Conditions at any time and will post the revised Terms on the Service. The revised Terms will be effective 2 days after they are posted on the Service. Your continued access to or use of the Service after that time constitutes your acceptance of the revised Terms. We recommend that you periodically review this page.

By using this Website or FairSharePay services, you affirmatively agree to these Terms and any changes we make to them, whether or not you have reviewed them. If these Terms are not acceptable to you, please do not use this Site or any FairSharePay services.

Service
FairSharePay Payments
FairSharePay provides software and technology infrastructure to facilitate payments where one or more persons (each a "Customer") wish to pay for, or split the cost of, goods and/or services together.

FairSharePay offers this software as a service directly to businesses and organisations (the "Merchants"), so they can deploy our payment services. Merchants are the primary data controllers for Customer data (where applicable under law), and FairSharePay acts as a data processor / service provider on behalf of Merchants to the extent required under applicable data protection law.

Software as a Service
FairSharePay's software is the core of its Service. Although FairSharePay's Service may include payment processing functionality, payment processing is handled by one or more third-party payment processors (for example: STRIPE, TAP PAYMENTS, CHECKOUT.COM) (each a "Third-Party Processor").

FairSharePay is not a bank, not a payment processor, and not a money services business unless expressly stated otherwise and licensed to do so in a relevant jurisdiction. FairSharePay provides software and orchestration/technology services only.

Your Authorization
By accepting these Terms, you authorize FairSharePay to facilitate payment instructions and related transaction actions on your behalf in connection with your use of the Service, including transmitting payment instructions to Third-Party Processors and, where applicable, holding, receiving, and disbursing funds solely as permitted by applicable law, contract, and the relevant payment processor arrangement.

In certain cases, prior consent is requested for collections of funds to be automatically debited or credited to and from your authorized accounts. Your authorization permits us and/or our Third-Party Processors to generate electronic fund transfer instructions to process each payment transaction resulting from your use of FairSharePay.

Registration and Use
Registration
A Merchant may create a FairSharePay Merchant account at dashboard.fairsharepay.com. Through this account, Merchants gain access to the FairSharePay Merchant Dashboard, from which they may view, create, and manage payments, split/group payments, and associated records in accordance with FairSharePay's Services.

Payment Services
Any application or service provided via the FairSharePay platform that facilitates a transaction between one or more participants, including split/group payments, as further described at fairsharepay.com/docs (or any successor documentation URL).

Implementation
A Merchant may use FairSharePay's Payment Service to create a group or single payment.

An initial Customer (the "Organizer") may be added or invited to join a group as an invitee. When a purchase/payment session is created, Organizers may invite other Customers via multiple channels, including email, social media, QR links, and other methods, to join the group.

Once a group purchase/payment session has been created, Customers may receive an email and/or notification to join and pay for their share via a link to a checkout page (for example a domain ending in fairsharepay.com/contributor). Invitees may commit to authorize their share, and once the total group amount is authorized (or otherwise met according to the split logic), funds may be automatically captured in accordance with the payment flow configured by the Merchant and supported by the relevant Third-Party Processor.

First Come, First Serve
Groups that have a maximum number of invitees may fill on a first come, first served basis. Groups remain open until the target size, target amount, or other completion condition is met (as configured by the Organizer and/or Merchant).

No additional invitees may join once the maximum invitee count has been reached (if applicable), as set by the Organizer or limited by the Merchant. Once the group purchase reaches its completion condition and payment is finalized/captured, neither the Organizer nor Customers may leave or join the group purchase, except as otherwise permitted by the Merchant's policies or applicable law.

Time-Limited Payments
Groups may be given a time period (a "time-to-pay" window) specified by the Organizer or Merchant to collect the total cost of goods and/or services. FairSharePay reserves the right to restrict the time-to-pay period at its discretion, and the Merchant may also apply its own constraints.

If the group purchase expires (the time-to-pay ends), uncaptured Customer payment authorizations may be automatically voided or released, subject to the behavior and timing of the relevant Third-Party Processor and card issuer. Captured payments may require a refund request to the Merchant, who is primarily responsible for handling refunds unless otherwise required by law.

Authorizations and Transactions
When an Organizer or invitee commits to pay their share of a purchase, the maximum possible cost of their share may first be authorized (rather than captured) when the Customer approves the payment. This maximum authorized amount may be determined by FairSharePay and/or the Merchant and may be calculated based on factors such as split type, number of invitees, order value, maximum capture amount, and time-to-pay.

The full authorized amount, or an amount less than the authorized amount, may then be captured automatically when the group reaches its completion condition (e.g., target amount or target participation threshold), subject to the Merchant's payment configuration and the capabilities/rules of the relevant Third-Party Processor.

If the group does not reach its completion condition by the applicable deadline, pending credit/debit card authorizations may be voided/released.

If a group successfully reaches the completion condition, Customer authorizations may be captured at an amount equal to or less than the amount originally authorized (depending on the final number of invitees and final payable amounts), and the relevant parties (including the Merchant, Organizer, and committed invitees) may receive confirmation and receipts.

The Organizer and participating Members may also receive a receipt confirming the total amount paid through FairSharePay, individual contributions, and other transaction details provided by the Merchant.

If some or all of the amount collected is payable to the Organizer or another Customer for personal use (if such functionality is enabled), Customers making such payments authorize the recipient of funds to use the funds at their sole discretion. FairSharePay is not responsible for ensuring or guaranteeing any use of funds represented by the Organizer or recipient.

Terms of Sale
Payment Acceptance
By clicking an "Approve", "Pay", or similar button, you affirmatively indicate your acceptance and intent to make payment for the product or service as presented by the Organizer and/or Merchant. You also agree (where applicable) to designate the Organizer as your agent in the transaction for purposes of facilitating the group purchase.

When you purchase one or more spots/shares, you confirm that you authorize FairSharePay and/or its Third-Party Processors to authorize and capture the amount entered on the payment page using the payment method you provide.

You are responsible for all use and purchases made with your account or payment credentials to the extent permitted by law, whether or not you personally authorized such use, except where liability is limited by applicable law.

FairSharePay's and Merchant's Right to Cancel
FairSharePay and Merchants reserve the right to cancel a purchase or group payment for any lawful reason, including fraud prevention, compliance concerns, technical failure, or Merchant cancellation.

Cancellation of Transaction
Committed Members may be able to withdraw their commitment and leave a group purchase before the purchase finalizes, by using the relevant checkout or management link (if such functionality is made available for that payment session).

After the purchase has been finalized and participating Members have been charged, no Customer or Member may withdraw, revoke, or cancel participation except in accordance with the Merchant's refund/cancellation policy and applicable law.

If a Customer requests a refund, the Merchant should be contacted using the contact information provided in the receipt or Merchant site. FairSharePay is not the seller of the underlying goods/services and is not primarily responsible for merchant fulfillment or refunds, but may assist in dispute handling as described below.

Pending Authorizations
Pending authorizations may remain on your payment method for a period of time after a purchase is voided, cancelled, modified, or expired, depending on your card issuer, bank, and the relevant Third-Party Processor.

Transaction Errors
If FairSharePay attempts to process an Organizer's or invitee's card/payment method and the transaction is denied or results in an error, the group may remain open for further invitees to commit (subject to Merchant settings).

Errors may be caused by expired cards, insufficient funds, issuer declines, incorrect payment information, fraud screening, network issues, or other reasons. If you receive notice of an error, you must correct and resubmit your payment information to participate.

An invitee's spot may not be held unless and until the transaction is successfully confirmed, and FairSharePay is not responsible for a Customer's inability to participate due to failed payment.

No Guarantee of Purchase Completion
FairSharePay does not guarantee that a group will reach the total purchase price, minimum number of participants, or any other completion condition. Even if your payment method is authorized, this does not guarantee that the group purchase will successfully complete.

Merchant Policies
By purchasing through FairSharePay, you agree to the Merchant's cancellation, refund, reservation, fulfillment, and other policies as displayed on the Merchant's website or otherwise made available during checkout.

You also agree to comply with any Merchant limitations stated on the product/service page and any terms presented during your use of the FairSharePay Service. By accepting these Terms, you also accept the applicable terms of the Merchant from which you are making a purchase using FairSharePay, to the extent such terms are made available to you.

FairSharePay will not waive or alter a Merchant's policies for an individual Organizer, Member, or Group. You agree that FairSharePay may assist the Merchant in enforcing Merchant terms, including sharing transaction/personal information with the Merchant where permitted by law and initiating additional charges only where authorized by you, contract, and applicable law.

Availability of Product or Service
FairSharePay may not be able to hold or guarantee the availability of the Merchant's item or service while a group payment remains incomplete. The item/service may become unavailable before the group reaches completion.

If the item/service becomes unavailable while the group is in progress, FairSharePay and/or the Merchant may notify the group. The Organizer may then have the option to remove the item/service, modify the group payment, or cancel the group payment, which may result in pending authorizations being voided/released (except for any non-refundable deposit(s), if disclosed and lawful).

Refund Policy / Dispute Assistance
If a dispute arises between you (or your group) and the Merchant or recipient of funds, and the Merchant/recipient does not resolve the issue to your satisfaction, please contact FairSharePay Customer Support at support@fairsharepay.com.

FairSharePay is not the Merchant of record for the underlying goods/services unless explicitly stated. Refunds are generally issued by the Merchant or recipient of funds. FairSharePay may use reasonable efforts to facilitate dispute communication and resolution, but does not guarantee refunds.

FairSharePay may assist in the event that:
You or your Group did not receive the item or service paid for through FairSharePay;

The item or service was received but materially differed from the description presented by the Merchant.

FairSharePay has no obligation to issue a refund where FairSharePay cannot recover the refund amount from the Merchant or recipient of funds, except where required by applicable law.

Requests for Documentation
During a dispute or refund request, FairSharePay may request documentation or evidence relevant to the dispute (for example, emails, receipts, photos, communications, or other supporting materials).

Unauthorized Use
In the event of unauthorized or fraudulent use of your account or payment method, you agree to notify FairSharePay immediately upon discovery via support@fairsharepay.com and to contact your card issuer/bank as appropriate.

Non-Conversion of Credit
A sale or purchase through FairSharePay may not be converted into store credit or other credit with a Merchant unless the Merchant expressly permits it.

Purchases with Specific Dates
Group purchases for a specific date/event must be redeemed on that date unless the Merchant agrees (and is able) to accommodate an alternative date.

No Double Recovery
You may not request recovery/refund from FairSharePay if you have already received recovery from your card issuer or bank for the same transaction, unless that recovery has been reversed.

Waiver of Liability
By purchasing an offer through the Site, you agree (to the extent permitted by law) not to hold FairSharePay liable for losses, damages, or claims arising from the Merchant's goods/services, including events occurring at the Merchant's premises or during use/redemption of any good or service purchased through FairSharePay.

Lost or Stolen Items
FairSharePay is not responsible for lost or stolen items at a Merchant's premises or during use/redemption of goods or services purchased through FairSharePay.

Terms of Use
Use of FairSharePay
By using the FairSharePay Service and Site, you agree to provide true, accurate, and complete information as requested during registration, payment, or use of the Site.

If information provided by you is found to be untrue, inaccurate, or incomplete, FairSharePay may suspend or terminate your account and refuse future use of the Site/Service to the extent permitted by law.

If FairSharePay determines that you are impersonating another person or using stolen/fraudulent information, FairSharePay may report such activity and related information to relevant authorities.

If you are receiving funds through the Service and are not registered as a Merchant, you agree that any funds received are for personal/non-commercial use only unless otherwise authorized by FairSharePay.

Abuse of Purpose / Prohibited Uses
As a Customer, you agree not to use the Site for any unlawful, harmful, or prohibited purpose, including (without limitation):
Any activity beyond or contrary to the intended purpose of the Site or Service;

Use of the Site or materials in a way that is unlawful, harmful, tortious, defamatory, obscene, fraudulent, deceptive, threatening, hateful, or otherwise objectionable;

Any use that harms minors;

Harassment, degradation, or intimidation of any individual;

Falsely representing your identity or purposefully providing misinformation;

Uploading/transmitting content that infringes another party's intellectual property rights;

Uploading/transmitting material designed to interrupt, destroy, or limit Site functionality;

Attempting to intercept or extract personal, sensitive, or other information from the Site or its servers without authorization;

Attempting to manipulate or modify information/services used by FairSharePay;

Any activity that violates applicable law, payment network rules, or Third-Party Processor terms.

Email Notifications
You agree that FairSharePay may send you email notifications relating to your account, payments, group invitations, and service updates.

If FairSharePay sends an email notification, it will be deemed received within 48 HOURS of transmission, unless otherwise required by law. You may be able to opt out of certain non-essential communications, but FairSharePay reserves the right to send important payment, security, and account-related messages.

Termination of Account
To request account closure, please email support@fairsharepay.com with the subject line ACCOUNT_TERMINATION_[YOURMERCHANTID]. The request should be sent from the email address associated with your account and should include the account email and full name of the account holder.

Any pending authorizations or group payments may need to be voided/cancelled before account closure can be completed.

Breach of Terms of Use
Breach
If you know or suspect a violation of these Terms, please notify FairSharePay immediately at legal@fairsharepay.com with subject SUSPICION/VIOLATION OF TERMS.

Limitation of Liability
General Limitations
To the maximum extent permitted by law, FairSharePay, its officers, employees, agents, affiliates, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Site or purchases facilitated through FairSharePay, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including, where applicable, liability for fraud, fraudulent misrepresentation, or death/personal injury caused by negligence).

The Site and services are provided on an "as is" and "as available" basis, subject to applicable law.

No Warranty
To the maximum extent permitted by law, FairSharePay disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted/error-free service.

FairSharePay does not warrant Merchant availability, pricing, condition, accuracy, usability, quality, legality, or reliability of goods/services offered by Merchants, nor does it guarantee any use of funds collected and paid to a Merchant or other recipient.

FairSharePay does not guarantee that the Site will be free from viruses or other harmful components.

Third-Party Payment Services
Execution of payments through FairSharePay requires use of Third-Party Processors and related third-party services. Those services are governed by the terms and conditions of the relevant third parties. FairSharePay is not responsible for the acts, omissions, outages, or errors of such third-party services.

Copyrighted Content and Intellectual Property
Intellectual Property Claims
FairSharePay respects intellectual property rights and expects users and Merchants to do the same. If you believe content on the Site infringes your intellectual property rights, please email legal@fairsharepay.com and include all information required under applicable law (for example, under the Digital Millennium Copyright Act (DMCA), if applicable).

Such information may include:
Your name and contact details;

Identification of the copyrighted work claimed to be infringed;

Identification of the allegedly infringing material and its location;

A statement of good faith belief that the use is unauthorized;

A statement that the information is accurate and, where applicable, under penalty of perjury;

Your physical or electronic signature.

Upon receiving a valid claim, FairSharePay may notify the relevant Merchant/user and may remove or disable access to the allegedly infringing content pending resolution.

FairSharePay Intellectual Property Rights
The trademarks, brands, service marks, logos, and designs of FairSharePay and third parties are the property of FairSharePay or their respective owners.

You agree not to use, copy, reproduce, publish, or otherwise exploit FairSharePay content or trademarks without prior written permission, except as permitted by law.

Content Provided by Customer
If you communicate or submit content to FairSharePay, you grant FairSharePay a non-exclusive, worldwide, royalty-free, transferable license (with the right to sublicense) to use, host, store, reproduce, modify, distribute, and display such content solely for purposes of operating, improving, and promoting the Service, subject to applicable law

You represent that you have the rights necessary to provide such content and grant this license.

Other Provisions
Indemnification
You agree to defend, indemnify, and hold harmless FairSharePay, its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of FairSharePay, your breach of these Terms, or your violation of applicable law or third-party rights.

Assignment of Rights
You may not transfer, assign, sublicense, or pledge your rights or obligations under these Terms without FairSharePay's prior written consent.

FairSharePay may transfer, assign, sublicense, or pledge its rights and obligations under these Terms to an affiliate, subsidiary, successor, or third party, subject to applicable law.

Entire Agreement / Severability
These Terms (as amended from time to time), together with any policies incorporated by reference constitute the entire agreement between you and FairSharePay regarding the Service.

If any provision is held invalid or unenforceable, that provision will be construed to reflect the parties' original intent as closely as possible under applicable law, and the remaining provisions will remain in full force and effect.
